Schoolab Platforms - Terms and Conditions

1. The editor

This website is owned and operated by Hexagone. A joint-stock company with a share capital of 13,679.00 euros, registered in the Caen trade and companies register under number 804461838 and whose head office is located at 2 rue Jean Perrin, 14460 Colombelles, France (“Inject”, “Inside”, “Inuit”, “Schoolab”, or “us”).

2. Subject

Schoolab provides an innovation platform service accessible on the website https://schoolab.tools which allows companies to facilitate the establishment and management of innovation places, programs and community.

These Terms and Conditions govern your access to the Website and its Services, as well as your use of them

By opening an account on the Website, you must check a box and confirm that you have read and accepted these Terms and Conditions, which constitute a legally binding contract between you and Schoolab.

Please read the following carefully. If you do not agree to these Terms and Conditions, do not use the Website. We are likely to modify them at any time by posting an updated version on this web page and by informing you before they come into force.

In order to improve your user experience, we may also change the structure and design of our Website, as well as certain Services or content without notice.

3. Definitions

In this document

« Account » means the account that must be created to become a Member and access the Services offered by the Website;

« Member » means any natural person having an Account on the Website;

« Community » means all Members of the Website;

« Deliverables » means all articles, original ideas, documents or other media (such as presentations, videos, etc.) uploaded to the Website by Members in response;

« Services » means all the content and the products, services, features, technologies or functions that we provide through the Website;

« Sponsor » means the company that operates the platform or submits an Innovation Program to Members via the Website.

4. Registration

A. Conditions

You must be at least 18 years old to use our Services, and by registering you declare that you meet this condition.

You must have permission to engage your company. You must confirm that you have permission to bind any company or entity on behalf of which you use our Services and that such company or entity accepts these terms.

B. Create an account

The Website allows Members to reserve event or meeting spaces, register for events, consult articles, innovation programs operated by Schoolab or the Sponsor, teams and team members. Participants in innovation programs, manage their profile and team file. The Website also allows Members to view Innovation Programs, register for them and interact with other Members, Sponsors or Schoolab through discussion forums, conversations, emails and messages.

You can view the public Innovation Program and Summaries if you are not registered, but you cannot register or participate in an Innovation Program without first opening an Account and becoming a Member.

To open your Account, you can either:

C. Accuracy of Account Information

You agree that the Account associated with your profile contains accurate and truthful data, and that you will update it, if necessary.

D. Password

You are responsible for maintaining the confidentiality of the password associated with your Account. You agree to notify us in the case of unauthorized use or security breach such as loss or theft of your login information.

5. Services

The Website is an online innovation platform on which Sponsors can manage a community, physical innovation venues, programs in which Members can participate, subject to the specific conditions of each as defined in the Program Regulations.

As a member :

  • You can access a personalized area on the Website, which contains your profile allowing you to consult the Innovation Programs to which you have subscribed, to communicate and exchange messages, in particular by email/chat, with Members, Sponsors, mentors and Schoolab;
  • You can register for innovation programs, provided you meet the conditions of the innovation program regulation;
  • You can participate in an innovation program as an individual, as a representative of a business entity, or by forming or joining a team, as indicated in the Rules Relating to the Innovation Program;
  • You can download Deliverables to follow an Innovation Program, as specified in the Regulations Relating to the Innovation Program;
  • You can extract the data and deliverables that you submitted during your participation in a given innovation program, as specified in the innovation program regulation;
  • You can follow an innovation project management and monitoring program online;

Sponsors may award rewards for winning Deliverables submitted by Members registered to participate in an Innovation Program, in accordance with the Innovation Program Rules.

It is their sole responsibility to evaluate all Deliverables and to decide independently, according to their own criteria, on the winner (s) of an Innovation Program. Decisions made by the Sponsors are considered final.

6. Content you post on the website

You can communicate with other Members, mentors, Schoolab or Sponsors through the Website. Any information that you communicate on the Website, both during your registration and during your use of the Services (for example, posts on public discussion forums, emails, discussions, Deliverables, etc.), is subject to this following :

You agree that the content you post will be accurate and that it: (i) will not infringe or affect any copyright, trademark, patent or other proprietary right or right of publicity, right to respect for the private life of a third party, nor (ii) will violate any law whatsoever (including laws relating to export controls, unfair competition, anti-discrimination or false advertising).

Regarding Deliverables. You guarantee that (i) you are the owner or authorized user of the intellectual property contained in your Deliverable and that (ii) you are not required to transfer any rights you have in the Deliverable to a third party by virtue of an employment relationship or other contract; or that (iii) you have obtained any necessary authorization from your employer or the co-contracting party before submitting the Deliverables. At any time, you may be asked to make legally binding guarantees and representations to Sponsor with respect to any Deliverable or any specific information you submit.

You are solely responsible for the content that you publish or upload to the Website, as well as the transfer of technology or information to which you engage. Schoolab expressly disclaims any liability in this regard.

7. Rules of conduct for members on the website

Certain rules apply to members

When you use our Website, you agree to:

  • not to submit to us, or to other members, mentors, the jury or sponsors any false, misleading, malicious or fraudulent information;
  • not to publish content that is defamatory, abusive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist or xenophobic, or content with sexual connotations, inciting violence, discrimination or to hatred, encouraging illegal activities, or more generally content contradicting good morals or the purposes of the Website;
  • not to infringe the rights and image of Schoolab, such as its intellectual property rights;
  • not to open more than one Account on the Website and not to open an Account in the name of a third party;
  • not to use the Account of another Member;
  • not to bypass the Website, in particular by attempting to contact a Sponsor or send them your Deliverables outside the Website;
  • not to transfer data that contains viruses, worms, Trojan horses or any file or computer program likely to disrupt, destroy or limit the functioning of any computer or network directly or indirectly linked to the Website ;
  • not to use any device, software or routine likely to disrupt the proper functioning of the Website or which is intended to damage, disrupt, intercept or expropriate any system, data or personal information;
  • not to take any action (for example, sending spam emails) that imposes an unreasonable load on our Website;
  • not to violate the principle of confidentiality which may exist in the context of an innovation program; and more generally, not to act in any way that violates the law or these General Terms and Conditions of Use.

8. Confidentiality

As part of an Innovation Program, you may be required to maintain the confidentiality of certain information.

You agree to defend, indemnify and hold harmless Schoolab with respect to all claims, legal actions or demands, liabilities and settlements, including but not limited to reasonable attorneys' fees, that you have disclosed confidential information without being authorized to do so.

9. Intellectual property rights

A. Licensing of schoolab by members

For the purposes of our Website and to enable the Services, you grant Schoolab a non-exclusive, free and international license, for the duration of the contractual relationship between us and you, allowing schoolab to use the content and data that you submit on the Website.

More specifically, you authorize us to display, distribute, publish, reproduce, present, adapt, use and translate any content that you provide, to the broadcaster via the Website and by means of any other communication protocol, and to communicate it to the public, community and sponsors.

B. IP rights / Schoolab limited license

This Website is controlled and operated by Schoolab. Our proprietary software and materials contained on the Website, including logos, trademarks, trade names and images, text, illustrations, audio and video files as well as the selection, coordination and arrangement of such materials , are protected by the rights copyright, trademarks, service marks or other proprietary rights which are owned either by us or by other parties who have licensed their intellectual property to us, and all other trademarks , service marks and trade names used on the Website are the property of their respective owners.

Provided that you are a member, Schoolab grants you a non-exclusive, revocable, personal and non-transferable license allowing you to use the Website, for your personal and private use, on a non-commercial basis and to serve the purposes of the Website.

You are prohibited from making any other use or exploitation of the Website and the Services, as well as their content, without the prior written permission of Schoolab. In particular, you are prohibited from:

  • to reproduce, adapt, distribute, publicly display and communicate the Website, Services, CVs, Innovation Program and Website content;
  • extract or attempt to extract (including using data mining robots or other similar data collection tool) a large part of the website data;
  • to reproduce, modify or attempt to discover any source code, to create a derivative work thereof, or to subject it to reverse engineering or assembly;
  • modify or attempt to modify the Website in any way or in any form, unless you have the right to modify the content that you have even generated on the Website;
  • framing or using framing techniques to include any trademark, logo, or other proprietary information (including descriptions of innovation programs, images, text , layout or form);
  • use any meta tag or other "hidden text" associated with the Schoolab name or trademarks.

Any unauthorized use by you that violates the foregoing terminates the license we have granted to you.

All new versions, updates or modifications to our Website, Services or related content will be subject to these Terms of Use. Schoolab reserves all rights not expressly granted by these General Conditions of Use.

C. Recourse

If you believe that the inclusion of certain content on the Website has infringed your legitimate intellectual property rights, you must immediately notify Schoolab and notify us of the following:

  • Your contact details. If you are making the claim on behalf of a third party, please provide proof of your right to represent that third party;
  • An identification of the content of the relevant website that you believe is protected by intellectual property rights, as well as its location on the website (indicating the URL link);
  • The attribution of the aforementioned intellectual property rights; as well as the grounds for the alleged violation.

10. Schoolab Role / Limitation of liability

Schoolab has no control over the attitude of Members, Sponsors, mentors or other users of its Website. We do not control the information communicated by others and made available through the Website; any other user's information may be inaccurate.

By accepting the Terms and conditions, you acknowledge that Schoolab has no control over the nature, quality, legality and timing of innovation programs. You agree that the Inject platform, as an intermediary, does not offer any Innovation Program and is not a party to any agreement that you have entered into with the Sponsor in connection with an Innovation Program.

Schoolab has no control over the acts or omissions of the Sponsors, or the quality, accuracy or legality of Abstracts or Innovation Programs, and accepts no responsibility in this regard. We do not endorse any Sponsors. Members act under their sole and entire responsibility. As an intermediary, Schoolab cannot be held responsible if an Innovation Program does not take place as planned, for example due to:

  • erroneous information communicated by the Sponsor in its Summary or as part of an innovation program, or by other means, with respect to the innovation program and its conditions;
  • the cancellation or modification of an Innovation Program by a Sponsor;
  • non-payment of the prize or reward by a Sponsor;
  • the attitude of its members during, before or after an innovation program, or at any other time.

We are not responsible for the content or use of any Deliverable, for a member's failure in an innovation program, for any damage caused by Sponsors to a member and for any indirect damage such as financial loss, loss of activity or moral damage that a member may suffer as a result of his use of the website or his participation in an innovation program.

You agree to submit only to the Sponsor any complaints you may wish to make regarding the information provided by the Sponsor. If you have a misunderstanding with another member, you must notify Schoolab of all claims, whatever their nature, resulting from a dispute.

Schoolab will not be liable to you for any claims or for any damages, fees or other costs that you incur or suffer as a result of third party claims relating to your use of the services. Under no circumstances will Schoolab be held responsible for any indirect damage, or any damage, assuming that said damage has been recognized. You wish that it will be up to you to defend, and that you will defend Schoolab at its request against claims from third parties resulting that you communicate to Schoolab in order to be published, or resulting from any violation of these General Conditions of Use including you are guilty.

You agree that regardless of any statutory or contrary law, any claim or cause of action relating to your use of the services must be filed within one (1) year after complaint will have been made or that said cause of action will have arisen, otherwise he / she will be definitively prescribed.

11. Suspension and termination of your account, Suspension and termination of your account and restrictions on access to it

You can end your contractual relationship with Schoolab and close your account at any time by clicking or contacting Schoolab. The termination will take effect immediately.

If you breach your commitments as set out in these Terms and Conditions, or if you have a valid reason to believe that the safety and integrity of Schoolab, its Members, Sponsors or third parties are threatened, we reserve the right to:

  • immediately terminate these Terms and Conditions which bind you and which bind Schoolab;
  • and suspend your account temporarily or permanently.

If necessary, you will be informed of such a measure, so that you can react to it. Schoolab will decide, at its sole discretion, whether or not to lift the measures put in place.

12. Personal data

We collect and process some of your personal data

By using the website and registering as a member, you acknowledge and agree to the way that we handle your personal data as set out in our privacy policy.

13. Operation, availability and platform functionalities

We will do everything in our power to ensure that the Website is constantly accessible, 24hr/day, 7days/week. However, access to the website or the use of certain features may be suspended or interrupted without notice, due to a maintenance technique, migration ,updates, failures, constraints related to the network or other technical reasons.

We reserve the right to modify or suspend all or part of your access to the Website or its features, at our sole discretion, temporarily or permanently.

14. Hyperlinks

Our Website contains links to other websites. We do not control such websites and accept no responsibility for their content. By including such links, we do not endorse the material on such websites or imply any association with their operators.

15. Terms and Conditions Modification

These Terms and Conditions and the documents incorporated by reference set out the entire agreement between you and Schoolab regarding your use of the Website and the Services.

Schoolab may modify these Terms and Conditions in order to adapt them to its technological and commercial environment to comply with the law. Any modification made to these one, will be published on the Site mentioning the date of entry into force, and Schoolab will notify you before the changes take effect.

16. Applicable law and dispute resolution

These Terms and Conditions are governed by French law and interpreted in accordance with it, without regard to any principle of conflict of laws. Any dispute relating to the execution or interpretation of these general conditions of sale falls within the exclusive jurisdiction of the Commercial Court of Paris.
